General terms and conditions E-Shop Architekturzentrum Wien General Terms and Conditions of the Architekturzentrum Wien E-Shop 1. Scope The business relationship between the E-Shop of Architekturzentrum Wien and the customer shall be governed solely by the following General Terms and Conditions in the version applicable when the order is placed. Any divergent terms and conditions of the customer shall not be recognized without our express written confirmation. 2. Placement and Cancellation of Orders The selling price for the goods ordered shall be the price corresponding to the indicated current price on our website. In the event of printing, typing or computing errors as well as price changes effected by our suppliers and/or exchange rate fluctuations of more than 5%, we shall be entitled to cancel the order. In that case, the Customer shall be informed thereof immediately and any money already paid as purchase price shall be refunded without delay. 4. Delivery Unless otherwise specified, all prices are stated "ex Works" and gross of tax, including legal turnover tax and shipping costs. The risk of damage and accident shall be transferred to the Customer upon transfer of the purchased goods to the carrier. The Seller shall fill the orders without undue delay, in any event within thirty days. If the purchased goods are not available, the Customer shall be informed thereof without delay, and the Buyer shall be entitled to cancel the order. Due Dates, Payment, Late Payment Our invoices are payable prior to the start of the delivery period. The Customer shall pay the purchase price by credit card only. We accept Euro Card/ Master Card, Visa, Diners, and American Express. Sales are subject to individual price changes. If import taxes are payable, the Customer shall bear the cost thereof. Sales to customers outside the European Union are exempt from VAT, but the customers shall bear the cost of any import taxes. In the case of sales to companies within the European Union, no Austrian VAT is required upon proof of the VAT Identification Number, yet such companies shall pay the VAT in their native countries. 6. Retention of Title Up to complete settlement of all claims against the Customer, the delivered goods shall remain the property of Architekturzentrum Wien. 7. Warranty and Liability Liability for any defects in the purchased products shall comply with the legal warranties provisions. The defective goods shall be returned by the Customer without delay. For all further claims, especially claims for damages of any kind (consequential damages), including lost profit, damages caused by delay, etc., the Seller shall in no case be liable except in the event of malicious intent or gross negligence. Nor shall the Seller be liable for the contents of the purchased product, particularly for the accuracy and legality of the form and content of statements, texts, images, audio media, instructions, etc., contained therein. The Seller assumes no liability for technical malfunction during operation of the web-shop. The Seller also reserves the right to cease operation at any time; without prejudice to his obligation to fulfil orders that have already been placed. 8. Data Protection The Customer hereby authorizes the Seller and his order-processing staff to acquire, store, process, and otherwise use personal information such as first and last name, postal code, address, telephone number, fax number, e-mail address, Internet address, date of birth, and bank account particulars for the purposes of filling and processing the order placed and for the purposes of sending an e-mail for advertising purposes via the Seller™s automated advertising system; the Customer may cancel this authorization at any time. The data shall be handled in compliance with current data protection laws and shall not be passed on to third parties. Rights of Third Parties (Copyright) The Customer hereby acknowledges that the purchased product has certain third-party rights attached to it, including copyrights and other intellectual property rights. The Customer agrees to use the purchased product only for purposes authorized by contract and/or law and to comply strictly with all licensing terms and conditions. This particularly applies to graphical and textual works such as audio-visual materials. The above point applies to the Sellers rights to the website and its contents, such as texts, graphics, logos, trademarks, titles, programs, price lists, databases, and other services provided. 10. Applicable Law Vienna shall be the place of performance and jurisdiction; Austrian substantive law shall apply (excluding provisions on conflict of laws) to the exclusion of UN Commercial Law. If the Customer is a consumer as defined by the Austrian Consumer Protection Act [KSchG], the competent court shall be the court of the sovereign territory in which the Customer resides.
